1. Acceptance of Terms By requesting a quote, submitting files, or placing an order with Prozix LLC (“we,” “our,” or “us”), you (“the Client”) agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Quotes, Orders, and Payment
- Quote Validity: All provided quotes are valid for thirty (30) days unless otherwise stated. We reserve the right to update pricing if the scope of the project, material costs, or client requirements change.
- Payment Terms: Depending on the project size, full payment or a non-refundable deposit may be required before manufacturing begins.
- Cancellations: Once production has started, orders cannot be canceled or refunded. Custom-manufactured parts have no resale value.
3. Manufacturing Tolerances & Material Variances
- Inherent Limitations: Additive manufacturing (3D printing) and reverse engineering involve thermal dynamics, material shrinkage, and mechanical limits. Parts may exhibit minor cosmetic imperfections, layer lines, or dimensional variances.
- Tolerances: Unless strict tolerances are explicitly agreed upon in writing prior to production, parts will be manufactured to standard commercial tolerances for the chosen process. Deviations within these standard tolerances do not constitute a defect or grounds for a refund.
4. Reverse Engineering & Scanning Limitations
- Approximations: 3D scanning and reverse engineering create digital approximations of physical objects. We do not guarantee that a reverse-engineered CAD model will be an exact, mathematically perfect replica of the original part, nor do we guarantee that the resulting file will perfectly interface with third-party assemblies without client-side modification. The client is responsible for testing and verifying all dimensions before proceeding to mass production.
5. Intellectual Property & Indemnification (Your Legal Shield)
- Client Ownership & Rights: You represent and warrant that you hold all necessary patents, copyrights, trademarks, and legal rights to manufacture the designs you submit to us.
- Prohibited Items: We strictly prohibit the submission of files for regulated firearms, weapons, illegal devices, or items that infringe on third-party IP. We reserve the right to reject any project at our sole discretion.
- Indemnification: You agree to fully indemnify, defend, and hold harmless Prozix LLC, its employees, and owners against any and all claims, damages, lawsuits, or costs (including attorney’s fees) arising from the manufacture of your submitted designs, including but not limited to claims of patent or copyright infringement.
6. Limitation of Liability (The “Use at Your Own Risk” Clause)
- All parts manufactured by Prozix LLC are produced based on the specifications provided by the client. Prozix LLC makes no warranties, express or implied, regarding the fitness, durability, safety, or merchantability of the manufactured parts for any particular purpose.
- End-Use Risk: The client assumes all risk and liability associated with the testing, assembly, and end-use of the parts.
- Liability Cap: Under no circumstances shall Prozix LLC be liable for any direct, indirect, incidental, punitive, or consequential damages (including lost profits or damaged equipment) resulting from the use or failure of parts we manufacture. In any event, our maximum liability shall not exceed the total amount paid by the client for the specific defective part.
7. Shipping, Risk of Loss, and Abandoned Property
- Risk of Loss: All items are shipped FOB Origin. This means the risk of loss or damage transfers to the client the moment we hand the package to the shipping carrier (USPS, UPS, FedEx, etc.). We are not responsible for carrier delays or lost packages.
- Local Pickup & Abandonment: If you select local drop-off/pickup and fail to retrieve your parts within sixty (60) days of completion notification, the items will be considered abandoned. We reserve the right to discard or recycle abandoned parts without a refund.
8. Force Majeure Prozix LLC shall not be held liable for any delays or failure to perform our obligations due to circumstances beyond our reasonable control. This includes, but is not limited to, supply chain disruptions, material shortages, machine breakdowns, power outages, natural disasters, or acts of government.
9. Governing Law & Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising out of these Terms or our services shall be resolved through binding arbitration in Los Angeles County, California, rather than in a court of law, to minimize legal expenses for both parties.
